VC & PE

We advise on all aspects of venture capital and entrepreneurship, working with both investors and investees. Our client base includes some of the UK’s foremost venture capital funds, VCTs, private equity houses and early stage technology funds.

VC law requires both an in-depth knowledge of English company law and a genuine appreciation of the pressures faced by young businesses (after all, we were a young business ourselves not so long ago). It also requires expertise in banking law and practice, and negotiation skills grounded in an ability to appreciate (and empathise with) the issues facing investors, founders, management teams and investee companies.

We’ve developed an international reputation for our advice and we’re ranked as a leading firm in the UK by the Chambers legal guide. In short, venture capital is what we do.

Working with VCs

Our client base includes some of the world’s foremost venture capital funds, VCTs, private equity houses, early stage technology funds, government-financed funds and universities.

We’ve advised on investments all across the technology sector, and in fields as diverse as semi-conductor manufacture, branded goods, retail and defence. We’ve developed an international reputation for our advice to investors and we’ve been consistently ranked as one of the leading firms in the UK by the Chambers legal guide.

Our team is led by Phil Riman, former legal counsel at 3i, one of the world’s leading venture capital funds. Phil has been voted Venture Capital Lawyer of the Year in the UK and the firm has been voted Venture Capital Firm of the Year in the UK on a number of occasions.

We advise on all stages of the investment, from heads of terms through to the equity documents and can also cover US-related issues such as registration rights agreements, working in tandem with our associated US firms where necessary. Our VC clients include Highland Capital and Frog Capital.

Working with Investees

Our client base includes some of the world’s leading technology companies, ranging from those who are taking in their first VC round of investment all the way through to those exiting via a sale or a listing.

We’ve advised on investments all across the technology sector, and in fields as diverse as semi-conductor manufacture, branded goods, retail and defence.

We’ve developed an international reputation for our advice to investees and we’ve been consistently ranked as one of the leading firms in the UK by the Chambers Guide.

Deal Management

Once the deal’s been agreed in principle, it’s up to us to get the legal documentation over the line with the minimum of fuss and disruption to the business.

That’s not to say that any shortcuts can be taken, but timescales are often tight. We’ll challenge your thinking where necessary but we’ll also stay focused on the deal and we won’t lose sight of the fact that there can be a time where compromise is appropriate.

You’ll need lawyers who are responsive and who can apply some creative thinking to the legal aspects of the deal in order to solve the inevitable issues that will arise during the negotiations.

The process isn’t always easy, but we can help to make it smoother.
