We advise charities which are formed as companies on their company law and charity law requirements. We have undertaken legal and compliance reviews for charities, particularly in relation to “public benefit” and corporate governance.  We also advise trustees and officers on their duties and potential liabilities.  As regards constitutional matters, we are experienced in drafting and amending charity constitutions, including those of Royal Charter corporations, and ancillary by-laws and regulations.

Companies incorporated by Royal Charter are very rare and unusual creatures in today’s modern business world. Advising them requires a very specific blend of legal skills: an ability to assimilate rapidly the implications of the company’s Charter, experience of dealing with the Privy Council (which still retains a great deal of authority over Royal Charter companies), a detailed knowledge of English company law and history and, often, expertise in charity law.

To read John Allen's article on the functions of the Privy Council, to which applications to alter the constitution of a Royal Charter corporation are made, click here (view pdf in separate window).

As a firm we are proud to advise a number of Royal Charter corporations, all of which are regarded as pre-eminent in their fields. We advise on:

  • corporate governance issues;
  • structural issues;
  • charity law issues; and
  • members’ liability.
